About this license

This license is the Functional Source License, Version 1.1, ALv2 Future License (FSL-1.1-ALv2, https://fsl.software), with one addition: the Team Size Condition below. Because of that addition it is not the unmodified FSL. Everything else follows the FSL text, except that the License Grant also refers to the Team Size Condition.

In short: you may use, copy and modify cemainou for any purpose except offering a competing product, for free on an installation used by up to five people. An installation with more people needs a commercial license for that installation (see COMMERCIAL.md). Two years after each version is released, that version is also available under the Apache License 2.0, without the Team Size Condition.

Terms and Conditions

Licensor ("We")

The party offering the Software under these Terms and Conditions.

The Software

The "Software" is each version of the software that we make available under these Terms and Conditions, as indicated by our inclusion of these Terms and Conditions with the Software.

License Grant

Subject to your compliance with this License Grant, the Team Size Condition and the Patents, Redistribution and Trademark clauses below, we hereby grant you the right to use, copy, modify, create derivative works, publicly perform, publicly display and redistribute the Software for any Permitted Purpose identified below.

Permitted Purpose

A Permitted Purpose is any purpose other than a Competing Use. A Competing Use means making the Software available to others in a commercial product or service that:

substitutes for the Software;
substitutes for any other product or service we offer using the Software that exists as of the date we make the Software available; or
offers the same or substantially similar functionality as the Software.

Permitted Purposes specifically include using the Software:

for your internal use and access;
for non-commercial education;
for non-commercial research; and
in connection with professional services that you provide to a licensee using the Software in accordance with these Terms and Conditions.

Team Size Condition

Your use of the Software for a Permitted Purpose, including your internal use and access, is subject to this condition: no more than five (5) Team Members may use an installation of the Software, unless you hold a valid commercial license from us for that installation.

A "Team Member" is a natural person with an active user account in the Software, other than a client account (an account limited to the projects of the client it belongs to). Deactivated accounts do not count.

Evaluation: you may also use an installation with more than five Team Members without a commercial license for up to thirty (30) days, to decide whether to buy one for that installation.

A license key issued by us for an installation is the proof of a commercial license for that installation. You may not remove, disable or circumvent the license key functionality of the Software, or modify the Software to do so, in order to have more Team Members than this condition permits.

The Team Size Condition does not apply to a version of the Software used under the Future License below, once that license is effective for that version.

Patents

To the extent your use for a Permitted Purpose would necessarily infringe our patents, the license grant above includes a license under our patents. If you make a claim against any party that the Software infringes or contributes to the infringement of any patent, then your patent license to the Software ends immediately.

Redistribution

The Terms and Conditions apply to all copies, modifications and derivatives of the Software.

If you redistribute any copies, modifications or derivatives of the Software, you must include a copy of or a link to these Terms and Conditions and not remove any copyright notices provided in or with the Software.

THE SOFTWARE IS PROVIDED "AS IS" AND WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF FITNESS FOR A PARTICULAR PURPOSE, MERCHANTABILITY, TITLE OR NON-INFRINGEMENT.

IN NO EVENT WILL WE HAVE ANY LIABILITY TO YOU ARISING OUT OF OR RELATED TO THE SOFTWARE, INCLUDING INDIRECT, SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGES, EVEN IF WE HAVE BEEN INFORMED OF THEIR POSSIBILITY IN ADVANCE.

Trademarks

Except for displaying the License Details and identifying us as the origin of the Software, you have no right under these Terms and Conditions to use our trademarks, trade names, service marks or product names.

Grant of Future License

We hereby irrevocably grant you an additional license to use the Software under the Apache License, Version 2.0 that is effective on the second anniversary of the date we make the Software available. On or after that date, you may use the Software under the Apache License, Version 2.0, in which case the following will apply:

cemainou commercial license

An installation of cemainou is free while up to five people use it (see LICENSE.md, "Team Size Condition"). An installation with more people needs a commercial license from RT Design Studio SRL. This page explains what it gives you. The order or invoice, together with these terms, is the agreement.

One installation, any number of people

One license covers one installation, for one year, with any number of people, collaborators and clients.
You get a license key for that installation. Paste it in Settings → License. It shows who the license is for and until when it brings new versions.
New versions released during that year install from the update page as usual.

Try it first

A team of any size may try an installation with everyone for up to 30 days before buying. Without a key, nothing stops working over five people: only the new versions wait for a license.

You choose the price

Every level gives exactly the same license. Pick the one that matches what cemainou is worth to your team:

When the year ends

Nothing stops working. You keep using every version released during your year, for as long as you want. Only newer versions need a renewed key.

Buying

Send the installation number (Settings → License) to mail@rt.md with the level you chose. RT Design Studio SRL sends an invoice, paid by bank transfer; the key comes by email once it is paid.
